Insurance Coverage.

A. Property Insurance. Represented policyholder in a bad faith action against a property insurer arising out of the denial of a Northridge Earthquake claim. The verdict was $10 million including punitive damages.

B. Multi-Party, Multi-Policy, Multi-Lawsuit. Represented major insurer with respect to Directors and Officers and Employment Practices Insurance coverage and case management of 23 class actions against motion picture studios, television networks, and talent agencies brought by television writers alleging age discrimination with respect to hiring.

C. Construction Defect Claims. Provided counsel with respect to insurance coverage for construction defect claims involving a multi building condominium project built on the Hudson River in New Jersey.

D. Securities Claims. Represented insurer with respect to Directors and Officers coverage involving multiple securities class actions brought by United States investors in Chinese reverse merger companies.

E. Professional Liability. Represented numerous professionals against their malpractice insurers; including lawyers, doctors, realtors and accountants seeking coverage for malpractice claims. Bruce also served and continues to serve as a party arbitrator for Lawyers Mutual Insurance Company in coverage arbitrations.

Professional Liability Claims

Bruce has represented lawyers, accountants, real estate, and insurance brokers in the defense of individual malpractice claims and class action claims arising out of underlying litigation and transactional matters. He has also represented clients suing lawyers for malpractice. These claims have involved alleged malpractice arising out of litigation including blown statutes of limitation, the failure to properly handle litigation, the failure to place insurers on notice, and malicious prosecution. Bruce has also sued and represented lawyers in the transactional context; including alleged malpractice in the drafting of agreements, securities offerings, real estate transactions, and ethical violations.

Business Litigation

A. Groupe Danone v. Zong-International. Represented Groupe Danone (Dannon) in a dispute with its Chinese joint venture partner over the ownership and control of the business in China. This case was multi-national with lawsuits in China, the United States, Samoa, the British Virgin Islands, and an international arbitration in Stockholm, Sweden.

B. Merger/Acquisitions. Handled many cases involving post closing of corporate acquisitions over breach of representations and warranties and distribution of post closing escrows.

C. Internal Partnership and Corporate Disputes and Dissolution. Represented partners, shareholders, and members in many cases over the control of the entity including claims of breach of fiduciary duty, dissolution, derivative claims, and enforcement of buy/sell provisions.
D. Lender Liability. Represented banks in lawsuits involving claims of lender liability and fraud with respect to loans and collateral.

A. Counseled BDO Seidman in a class action involving real estate loan investment vehicles.

B. Represented the Dannon Company in the defense of consumer class actions under B&P Code §17200 and §17500, FTC and attorney general investigations alleging false advertising with respect to Dannon’s probiotic products Activia and DanActive.

C. Counseled Aames Home Mortgage in class action litigation under the Fair Credit Reporting Act.

D. Represented New Century Mortgage in class action litigation under the Fair Credit Reporting Act.

E. Represented Prudential Insurance Company officers in a class action arising out of “vanishing” premium life insurance policies.

F. Advised Realogy Corporation f/k/a Cendant Corporation and Coldwell Banker, in consumer class actions filed under RESPA.

G. Advised Titan L-3 in a class action securities litigation.

H. Guided Westfield Corporation in a class action arising out of taking its U.S. subsidiary private.
